Job Title: Associate General Counsel, Corporate

Location: Remote in Austin, TX

Travel: 1-2x per month

Reports To: General Counsel, NVA GP


Position Summary:

We are seeking an experienced Associate General Counsel, Corporate to serve as a key legal advisor on mergers and acquisitions, joint ventures, and corporate governance matters. This is a high-impact role within a collaborative and purpose-driven organization. The successful candidate will bring strong business acumen, sound legal judgment, and a proactive, solutions-oriented approach to complex legal and strategic issues.


Key Responsibilities:

  • Serve as lead legal counsel on M&A transactions, joint venture structuring, and other strategic partnerships, including drafting and negotiating definitive agreements and overseeing due diligence and deal execution.
  • Provide expert counsel on corporate governance and legal entity management, including supporting the implementation of legal entity management technology.
  • Provide legal support and help drive forward a variety of projects requiring corporate or generalist legal expertise.
  • Collaborate closely with internal business leaders across Field Operations, Business Development, Medical, Finance and HR and to provide practical, timely legal guidance.
  • Cultivate and maintain strong relationships with joint venture partners and selling veterinarians, ensuring alignment, transparency, and long-term success.
  • Manage outside counsel on transactions and corporate matters to ensure high-quality, cost-effective legal support.
  • Identify and mitigate legal and regulatory risks while supporting the company’s mission and growth.
  • Stay current on developments in corporate law, M&A, and healthcare regulations affecting the veterinary industry.

  • Qualifications:
  • J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
  • 10+ years of legal experience, including a mix of law firm and in-house roles with substantial M&A and corporate transactional focus.
  • Deep experience negotiating and structuring M&A deals, joint ventures, and governance frameworks, ideally with experience navigating tax issues involved in corporate transactions.
  • Experience in multi-site healthcare services, veterinary, or related industries is strongly preferred.
  • Excellent interpersonal and communication skills with a proven ability to build trust across teams and with external partners.
  • A strong collaborator who thrives in cross-functional environments and contributes to a culture of partnership and accountability.
  • Strategic thinker with business judgment and the ability to balance legal risk with operational objectives.
  • Willingness to travel approximately 1-2 times per month for in-person meetings.

The compensation range for this role is $200,000-230,000 and is eligible for benefits and, subject to required approvals, incentive equity.
