Position Summary

Ethos Veterinary Health is seeking an experienced Senior Counsel, Commercial to serve as a strategic legal partner on high-value commercial matters that are critical to Ethos’s growth and operational excellence. This role will focus on complex commercial agreements, procurement contracts (covering spend in excess of $500M annually), innovative commercial partnerships—including those involving cutting-edge, revenue-producing research—management of intellectual property rights, and new strategic initiatives in areas such as insurance.


The ideal candidate is not only a strong technical lawyer, but also a trusted thought partner to business leaders—someone who combines legal skill with deep business acumen, and who can anticipate challenges, identify opportunities, and help drive results on the company’s most important priorities.


Key Responsibilities

  • Lead legal aspects of commercial contracting across procurement, supply chain, and vendor relationships, ensuring agreements align with strategic, operational, and financial goals. Assist the procurement team in managing contract lifecycle management (CLM) systems.
  • Negotiate and structure commercial partnerships that drive revenue and innovation, including collaborations in research, data, and new business initiatives.
  • Advise on IP strategy—including ownership, licensing, protection, and commercialization of intellectual property—to maximize business value and mitigate risk.
  • Partner with business leaders across operations, procurement, medical research, finance, and marketing to develop pragmatic, timely, and business-aligned legal solutions.
  • Design and implement contract management best practices to improve efficiency, governance, and value realization including by policy and procedure deployment.
  • Drive legal operations improvements, with a focus on deploying legal technology to enhance efficiency, precision, and visibility across the function.
  • Manage outside counsel to ensure efficient, high-quality support on specialized matters.
  • Monitor and advise on legal and regulatory developments affecting commercial operations, research collaborations, and IP rights.
  • Support strategic decision-making by balancing legal risk with commercial objectives and operational realities.

Qualifications

  • J.D. from an accredited law school and active license to practice in at least one U.S. jurisdiction.
  • 7+ years of legal experience, including significant in-house experience advising on complex commercial agreements and strategic partnerships.
  • Demonstrated success in high-value procurement, supply, or strategic vendor contracting.
  • Experience with IP rights management and commercialization strategies.
  • Experience implementing and/or managing contract lifecycle management (CLM) platforms.
  • Exceptional communication and relationship-building skills, with the ability to gain trust quickly and influence across the organization.
  • Strategic thinker who combines sound legal judgment with a deep understanding of business drivers.
  • Ability to operate effectively in a fast-paced, collaborative environment.
  • Willingness to travel up to 4-6 times per year (once or so a quarter).

The base salary range for this full-time position is $170,000 - $190,000. Our salary ranges are primarily determined by role, level, and location. The range provided for each job posting reflects the minimum and maximum target salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. The Company offers competitive compensation along with a comprehensive benefits package, including medical, dental, and vision benefits, vacation, sick leave, 401(k), and more depending on location.
